Terms of Service

These Terms of Service ("Terms") are a legal agreement between you (and the organization you represent, if any) and Betterman Labs LLC, d/b/a ClayStage ("ClayStage", "we", "us", "our") governing your access to and use of our marketing website, the ClayStage application, and related services (the "Service"). Betterman Labs LLC is a limited liability company organized under the laws of the State of Delaware. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

ClayStage is a multi-tenant SaaS product for creating 3D content: staging clay scenes, generating photoreal renders, animating without keyframes, posing and styling characters, and producing video and product shots. The Service uses third-party generative-AI models to produce images and video from your inputs (see Section 4).

2. Accounts and eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service.
You may create an account with an email and password, or by signing in with a supported provider (such as Google). You are responsible for the accuracy of your registration information and for keeping your credentials secure.
You are responsible for all activity under your account. Notify us promptly of any unauthorized use.
Organizations and teams. Accounts may belong to an organization ("studio"). The organization owner and admins may invite members, assign roles (owner, admin, designer), manage access, and remove members. If you join an organization, an authorized administrator of that organization may control and access workspace content and your access to it, and your use is also subject to that organization's policies.

3. Acceptable use

Because ClayStage generates your renders, animations, and video through a third-party generative-AI provider, Runway (see Section 4), your use of the Service is also subject to Runway's content rules, and you agree to comply with them. The restrictions below incorporate those upstream rules so that what you make on the stage stays within the limits of the provider that produces it. You agree not to use the Service to:

violate any law or infringe anyone's intellectual-property, privacy, publicity, or other rights — including any patent, trademark, trade secret, copyright, or right of publicity;
upload or generate content that is unlawful, infringing, harmful, deceptive, or that you do not have the rights to use as input;
create or submit content that is nude, sexually explicit, violent, dangerous, hateful, harassing, threatening, abusive, defamatory, fraudulent, misleading, obscene, or otherwise offensive — categories that Runway, as our generation provider, expressly prohibits;
create content that is sexually explicit involving minors (which is strictly prohibited and reported as required by law), or that promotes violence or hatred;
upload a photograph or likeness of another person without that person's permission, or impersonate any person or entity or otherwise misrepresent your affiliation;
attempt to access another tenant's or user's data, circumvent per-tenant isolation, probe or breach security, or disrupt the Service;
reverse engineer, scrape, or resell the Service, or use the Service or its Outputs to build a competing or substantially similar product or service, except as permitted by law; or
misrepresent generated output in a way prohibited by law (including required AI-disclosure rules).

These limits track the acceptable-use and content rules published in Runway's Terms of Use, which apply to content processed through Runway's models. We may suspend or terminate access for violations and may remove content that breaches these Terms or Runway's rules.

4. Your content and generated output

You own your inputs and outputs. As between you and ClayStage, you retain all rights to the content you provide ("Inputs" — including scenes, prompts, and reference images) and to the renders, animations, and videos generated from them ("Outputs"), subject to these Terms and to the terms of the underlying model provider. We do not claim ownership of your projects.

License to operate the Service. You grant ClayStage a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process your Inputs and Outputs solely to operate, secure, and improve the Service and to provide it to you and your organization. This includes sending your Inputs to our generative-AI sub-processor (Runway) to produce your Outputs, and storing your files in our hosting/storage infrastructure. We do not use your private content to train our own or any third party's foundation models without your explicit, separate opt-in.

Processing by a third-party AI provider. To produce your Outputs, ClayStage sends your Inputs — your text prompts, reference and scene images, and exported viewport clips — to Runway, a third-party generative-AI provider, through Runway's API. Runway processes those Inputs to generate the render, animation, or video you requested and returns the Output to your private workspace. Runway does not claim ownership of your Inputs or Outputs and does not restrict your commercial use of your Outputs; however, Runway's handling of the content you submit, and its own rights to use submitted Inputs and Outputs to operate and improve its models, are governed by Runway's Terms of Use and privacy practices. By generating content on the Service, you authorize this processing and agree to Runway's applicable terms.

No guarantee of output; outputs may not be unique. Outputs are produced by AI models and are not guaranteed to be accurate, reliable, original, non-infringing, or fit for any particular purpose. Because of how generative AI works, your Outputs may not be unique, and the same or similar Outputs may be generated for other users. You are responsible for reviewing every Output before relying on or publishing it.

Responsibility for content. You are responsible for your Inputs and for ensuring you have the rights necessary to use them and to generate and use the resulting Outputs. You are solely responsible for your use of any Output, including ensuring it does not infringe or violate the rights of others or any law.

5. Plans, credits, billing, and cancellation

Plans. We offer a free trial and paid subscription plans (such as Creator, Studio, and Teams), available on monthly or annual billing. Plan features, included credits, and prices are described on our pricing page and may change with notice.
Credits. Generation consumes credits as configured for your plan (for example, image, video, and upscale actions consume different amounts). Included credits refresh per billing cycle and, unless stated otherwise, do not roll over. Additional credit top-ups may be purchased and are consumed under the same rules.
Payment. Paid plans are billed through our payment processor, Stripe. By subscribing, you authorize recurring charges to your payment method for the plan and cycle you select, until you cancel.
Cancellation. Subscriptions can be cancelled at any time. Cancellation takes effect at the end of the current billing period, and you retain access through that period; we do not charge a cancellation fee.
Refunds. Credits and paid subscription periods are non-refundable except where required by law. Cancelling stops future renewals but does not refund the current period or any unused or consumed credits. Where mandatory consumer-protection law (such as a statutory cooling-off or withdrawal right) gives you a refund right that cannot be waived, that right still applies.
Taxes. Prices exclude applicable taxes, which you are responsible for.

6. Service availability and changes

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, and we rely on third-party providers (hosting, storage, payments, and AI generation) whose availability is outside our control. We may impose reasonable usage limits to protect the Service.

7. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE, RELIABLE, ORIGINAL, NON-INFRINGING, OR FIT FOR YOUR INTENDED USE. BECAUSE OUTPUTS ARE GENERATED BY THIRD-PARTY AI MODELS, THEY MAY NOT BE UNIQUE, AND THE SAME OR SIMILAR OUTPUTS MAY BE GENERATED FOR OTHER USERS. YOUR USE OF THE SERVICE AND ANY OUTPUT IS AT YOUR OWN RISK.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ClayStage WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify, defend, and hold harmless ClayStage (and our officers, employees, and providers) from any claims, damages, losses, and expenses (including reasonable legal fees) arising from or related to: your Inputs or Outputs; your use or misuse of the Service or of any generated content; your violation of these Terms, of Runway's Terms of Use or content rules, or of any law; or your infringement or violation of any intellectual-property, privacy, publicity, or other right of any person or entity. This includes claims arising from content you generate that is unlawful, infringing, or otherwise prohibited under Section 3.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; certain provisions (including ownership, disclaimers, limitation of liability, and indemnification) survive. You may export or delete your content before termination where the Service provides such tools; see our Privacy Policy for deletion.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in Delaware, and you consent to their personal jurisdiction, except where applicable law provides otherwise.

12. Changes to these Terms

We may update these Terms from time to time. We will post the new version here and update the effective date; your continued use after changes take effect constitutes acceptance. Material changes will be communicated where appropriate.
